1. Introduction

Welcome to Earnstak. By accessing or using www.earnstak.com, purchasing services, or creating an account, you agree to be bound by these Terms of Service ("Terms").

Earnstak is a plug and play payment engine that helps creators, entrepreneurs, and businesses sell digital products under their own brand with payment processing, instant delivery, and marketplace reach.

If you do not agree with these Terms, do not use the platform.

2. Definitions

Earnstak / we / us / our: The platform operating at www.earnstak.com.
User / you: Any individual or entity using the platform.
Creator: A user who lists and sells digital products or services.
Buyer: A user who purchases digital products or services through Earnstak.
Platform: The Earnstak website, tools, services, and related infrastructure.
Content: Digital products, files, media, text, or materials uploaded, published, or sold on the platform.

3. Eligibility

You are at least 18 years old (or legal age in your jurisdiction).
You have legal capacity to enter a binding agreement.
You are not prohibited by law from using the platform.
If acting for a business, you confirm authority to bind that business.

4. Account Registration

To access certain features, you must create an account and:

Provide accurate, complete, and current information.
Keep login credentials confidential.
Notify us immediately of unauthorized account use.
Accept responsibility for activities under your account.

Earnstak may suspend or terminate accounts with false information, fraud, or Terms violations.

5. Creator Responsibilities

Sell only content you own or are authorized to distribute.
Ensure products are accurately described and delivered as promised.
Do not sell illegal, harmful, misleading, or infringing content.
Comply with applicable laws (including IP and consumer laws).
Respond to buyer complaints and disputes in good faith.

Earnstak provides infrastructure; creators are responsible for what they publish and sell.

6. Prohibited Content and Activities

IP infringement (copyright, trademark, patent, etc.).
Fraudulent, deceptive, or misleading listings.
Adult, obscene, or sexually explicit content.
Hate, violence, discrimination, or illegal activity promotion.
Spam, phishing, or unauthorized solicitation.
Malware, viruses, or harmful code uploads.
Reverse engineering, scraping, or platform misuse.
Multiple accounts used to evade bans/restrictions.

Violations may result in content removal or account suspension without notice.

7. Fees and Payments

7.1 Plans and Transaction Fees

Free Plan: 4% + NGN 100 per sale, up to 3 projects.
Pro Plan: NGN 9,500/month + 2% + NGN 50 per sale, unlimited projects.
Scale Plan: Custom pricing and rates for larger teams.

7.2 Payouts

Earnings are remitted after deduction of applicable platform and transaction fees. Payout schedules and thresholds appear in your dashboard.

7.3 Taxes

You are responsible for determining and remitting applicable taxes on your earnings unless law requires otherwise.

7.4 Subscription Refunds

Pro and Scale subscription fees are non-refundable unless otherwise stated. Cancellation ends renewal, and access continues through the active billing period.

8. Buyer Terms

Purchases grant a usage license, not ownership of underlying IP.
Digital products are generally non-refundable once delivered, except where stated by creator policy or material mismatch.
Product quality disputes should first be raised directly with the creator.

9. Intellectual Property

9.1 Your Content

You retain ownership of your uploaded content. By publishing on Earnstak, you grant a non-exclusive, royalty-free, worldwide license to host, display, and distribute that content solely to operate the platform and fulfill purchases.

9.2 Earnstak Property

Earnstak branding, designs, code, copy, and platform features are exclusive to Earnstak. You may not copy, reproduce, or create derivative works without prior written permission.

10. Privacy

Your use of Earnstak is also governed by our Privacy Policy: www.earnstak.com/privacy-policy.

11. Disclaimer of Warranties

The platform is provided "as is" and "as available."

We do not warrant uninterrupted, secure, or error-free service.
We do not guarantee specific outcomes or results.
We do not guarantee third-party content accuracy or reliability.

Your use of the platform is at your own risk.

12. Limitation of Liability

To the fullest extent permitted by law, Earnstak is not liable for:

Indirect, incidental, special, or consequential damages.
Loss of revenue, data, goodwill, or profits from platform use.
Damages exceeding the total amount you paid to Earnstak in the three months before the claim.

13. Indemnification

You agree to indemnify and hold harmless Earnstak and its officers, employees, and agents against claims, liabilities, losses, and expenses (including legal fees) arising from:

Your use of the platform.
Your violation of these Terms.
Your content or products.
Any infringement of third-party rights.

14. Third-Party Services

Earnstak may integrate with third-party processors, tools, and services. We are not responsible for third-party policies or performance, and your use of those services is governed by their own terms.

15. Termination

Earnstak may suspend or terminate accounts for Terms violations or harmful conduct. You may terminate your account by contacting us. Upon termination, platform access ends immediately, while outstanding obligations are settled under standard procedures.

16. Changes to These Terms

Earnstak may update these Terms periodically. Material changes are communicated via platform notice or email. Continued use after the updated effective date means acceptance.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Parties will first attempt good-faith negotiation; unresolved matters proceed to courts of competent jurisdiction in Nigeria.
